Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Koopi ("Koopi", "we", "us") and govern your use of the Koopi mobile app and related services (the "Service"). By creating an account or using the Service, you agree to these Terms, to our Privacy Policy, and to our Risk Disclosure. If you do not agree, do not use the Service.

1. What Koopi does

Koopi is a tool that reads trading signals from the Telegram channels you choose and places the corresponding orders on the brokerage account you connect, according to the settings you set. Koopi is software. It is not a broker, a bank, a fund, or an investment adviser, and it does not hold your money or execute trades on any account other than the one you connect yourself.

2. Not financial advice

Nothing in the Service is financial, investment, legal, or tax advice, and nothing is a recommendation to enter any trade or to use any signal channel. The signals come from third-party channels you select; Koopi does not author, endorse, verify, or guarantee them. You are solely responsible for the channels you copy, the settings you choose, and every resulting trade. Trading carries a high risk of loss. Read the Risk Disclosure in full before using the Service.

3. Eligibility

You must be at least 18 years old and legally able to enter this agreement and to trade with your broker in your jurisdiction. You are responsible for ensuring that using Koopi is lawful where you live.

4. Your accounts and credentials

• You connect your own Telegram account and your own broker (MT5) account. You must have the right to use them and to authorize Koopi to act on them as you configure.
• You are responsible for keeping your devices and credentials secure and for all activity under your account.
• You can disconnect Telegram or your broker, or delete your account, at any time from within the app.

5. Subscriptions and billing

Koopi offers a Premium subscription, billed through your Apple ID using Apple's In-App Purchase. Premium is offered on weekly, monthly, and yearly billing periods, and a discounted introductory price may apply to your first period.

• Payment is charged to your Apple ID at confirmation of purchase.
• Auto-renewal. The subscription renews automatically for the same period and price unless you turn off auto-renewal at least 24 hours before the end of the current period. Your Apple ID is charged for the renewal within 24 hours before the period ends.
• Managing and cancelling. You manage or cancel your subscription in the Settings app under your Apple ID > Subscriptions. Cancelling stops future renewals; it does not retroactively refund the current period.
• Refunds for App Store purchases are handled by Apple under Apple's policies, not by Koopi.
• Free access. Where offered, you may earn or retain access through a points or broker-based program instead of a paid subscription. The applicable terms are shown in the app.

6. Acceptable use

You agree not to:

• use the Service for anything unlawful, or in violation of your broker's or Telegram's terms;
• attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service;
• use the Service to harm others or to evade applicable trading or financial regulations.

7. Third-party services

The Service depends on third parties, including Telegram, your broker, and Apple. Their availability, rules, and changes are outside our control, and your use of them is governed by their own terms. Koopi is not responsible for the acts, omissions, or outages of third parties.

8. No warranty

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, timely, or that signals will be copied accurately or profitably. Execution can be delayed, partial, or fail for reasons including connectivity, broker behavior, market conditions, and third-party outages.

9. Limitation of liability

To the maximum extent permitted by law, Koopi is not liable for any trading losses or for any indirect, incidental, special, consequential, or exemplary damages arising from your use of the Service. To the extent any liability cannot be excluded, our total liability is limited to the amount you paid Koopi for the Service in the 12 months before the claim. You accept that you trade at your own risk and that you are responsible for your own losses.

10. Indemnification

You agree to indemnify and hold Koopi harmless from claims and costs arising out of your use of the Service, your trades, or your breach of these Terms.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms or if required for security, legal, or operational reasons.

12. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date above and, for material changes, notify you in the app. Continued use after changes take effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the Philippines, without regard to conflict-of-law rules.
